Section 1

Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and DripTide Premiere LLC, a Florida limited liability company ("Company," "we," "us," or "our"), operating the SilverShield AI™ service ("Service") at silvershieldsafe.com.

By creating a SilverShield account, clicking "I Agree," starting a free trial, or otherwise accessing or using the Service, you agree to be bound by these Terms, our Privacy Policy, and any other policies or guidelines incorporated by reference. If you are accepting these Terms on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

You must be at least 18 years of age to use the Service. By using the Service, you represent that you are 18 years of age or older.

Not a substitute for emergency services: SilverShield AI™ is a fraud detection and alerting service. It is not a safety monitoring system, medical device, or emergency response service. If you or a family member is in immediate danger, call 911.

Section 2

Description of Service

SilverShield AI™ is a subscription-based software-as-a-service (SaaS) platform designed to help protect older adults from fraud, scams, and AI-powered deception. The Service includes, depending on your subscription plan:

  • Call Monitoring & Scam Screening: AI-powered analysis of incoming phone calls to detect scam indicators, robocallers, and deepfake voice impersonations.
  • Email & Text Screening: Analysis of incoming email and SMS communications for phishing attempts, scam patterns, and malicious links.
  • Financial Transaction Monitoring: Read-only monitoring of connected financial accounts (via Plaid) for unusual or suspicious activity.
  • Family Voice Enrollment: Optional feature allowing enrollment of authorized family member voice profiles for deepfake detection.
  • Real-Time Alerts: Immediate notifications to designated Family Circle members when potential threats are detected.
  • Family Dashboard: A shared interface for authorized family members and caregivers to view monitoring activity and alerts.
  • SilverShield Hub (Optional Hardware): A physical device that integrates with the Service for enhanced call screening capabilities.

2.1 Service Availability

We strive to maintain 99.9% uptime. However, we do not guarantee uninterrupted or error-free service. The Service may be unavailable during scheduled maintenance windows (for which we will provide advance notice when practicable) or due to circumstances beyond our control.

2.2 Beta Features

We may offer features labeled "Beta," "Preview," or "Experimental." These features are provided as-is, may be modified or discontinued at any time without notice, and are excluded from our standard service level commitments.

2.3 Service Limitations

The Service is designed to assist in detecting potential fraud and scam activity but cannot guarantee detection of all threats. You acknowledge that:

  • AI-based fraud detection is probabilistic and may produce false positives or false negatives
  • New scam techniques emerge continuously, and the Service may not immediately detect novel attack methods
  • The Service is a supplementary protective measure and should not replace other security precautions
  • Alerts generated by the Service require human review before taking action
Section 3

Account Registration

3.1 Account Creation

To use the Service, you must create an account by providing accurate, current, and complete information including your name, email address, phone number, and payment information. You agree to update your information promptly if it changes.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately at info@silvershieldsafe.com if you suspect unauthorized access to your account

We recommend using a strong, unique password and enabling two-factor authentication (2FA) on your account. We will never ask for your password via email or phone.

3.3 One Account per User

Each subscription account is intended to protect one senior individual (the "Protected Person"). If you wish to protect multiple individuals, you must purchase separate subscriptions for each.

3.4 Family Circle

You may designate up to the number of Family Circle members permitted by your subscription plan. Family Circle members will have access to alerts, activity summaries, and the shared dashboard related to the Protected Person. You represent that you have obtained consent from all Family Circle members before adding them to your account.

3.5 Enrollment of Protected Person

Where the Protected Person is the account holder themselves, you agree on your own behalf. Where you are setting up the Service on behalf of a parent, spouse, or other senior family member, you represent that you have that person's informed consent to enroll them in the Service and to share their information and communications data as described in our Privacy Policy.

Subscription & Billing

4.1 Subscription Plans

SilverShield AI™ is offered on the following subscription plans:

Annual subscription pricing may be available at a discount and will be displayed at checkout. Prices are in US dollars and are exclusive of any applicable sales taxes.

4.2 Free Trial

New subscribers may be offered a 14-day free trial. During the trial period, you have full access to the features of your selected plan at no charge. No credit card is required to start a trial, but you must provide valid payment information before the trial ends if you wish to continue the Service.

At the end of the 14-day trial period, your subscription will automatically begin and your payment method will be charged the applicable subscription fee unless you cancel before the trial expires. Only one free trial is permitted per household.

4.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period (monthly or annual) unless you cancel. By subscribing, you authorize DripTide Premiere LLC to charge your payment method on a recurring basis at the then-current subscription rate.

We will send a renewal reminder email at least 7 days before any annual subscription renewal date. For monthly subscriptions, renewal occurs on the same calendar day each month.

4.4 Payment Processing

All payments are processed by Stripe, Inc., our third-party payment processor. By providing payment information, you agree to Stripe's terms of service. We do not store full credit or debit card numbers on our servers. You authorize us to charge your provided payment method for all applicable fees.

If a payment fails, we will attempt to process the payment again and notify you. Your access to the Service may be suspended if payment cannot be collected after reasonable attempts.

4.5 Price Changes

We reserve the right to change subscription prices at any time. We will notify you by email and within the Service at least 30 days before any price increase takes effect. If you do not cancel before the price change takes effect, your continued use of the Service constitutes acceptance of the new price.

4.6 Cancellation

You may cancel your subscription at any time through your account dashboard under Settings → Subscription, or by contacting us at info@silvershieldsafe.com. Cancellations take effect at the end of the current billing period. You will retain access to the Service through the end of the paid period.

We do not provide pro-rated refunds for partial billing periods, except as described in our money-back guarantee below.

4.7 Refund Policy & Money-Back Guarantee

We offer a 30-day money-back guarantee for all new paid subscriptions (not applicable to hardware). If you are unsatisfied with SilverShield AI™ for any reason within the first 30 days of your first paid billing period, contact us at info@silvershieldsafe.com and we will issue a full refund of your subscription fee. Refund requests submitted after 30 days are evaluated on a case-by-case basis at our sole discretion.

4.8 SilverShield Hub Hardware

The optional SilverShield Hub device is sold separately at $149 (plus applicable shipping and taxes). Hardware purchases are subject to the following:

  • Hardware is non-refundable after 30 days from delivery unless defective
  • Defective units will be replaced or refunded within 90 days of purchase
  • The Hub requires an active SilverShield subscription to function; cancelling your subscription will disable Hub functionality
  • Hardware is subject to a separate limited warranty available at silvershieldsafe.com/warranty

4.9 Taxes

You are responsible for all applicable sales taxes, use taxes, and similar charges on your subscription. Where required by law, we will collect and remit applicable taxes on your behalf, which will be reflected in your invoice.

Section 5

Acceptable Use

You agree to use the Service only for its intended purpose — protecting the designated senior individual from fraud and scams — and in compliance with all applicable laws and regulations. You agree not to:

  • Use the Service to monitor, surveil, or collect information on any individual who has not consented to being enrolled in the Service
  • Enroll a minor under the age of 13 as a Protected Person
  • Share your account credentials with individuals who are not authorized Family Circle members
  • Attempt to reverse engineer, decompile, disassemble, or otherwise derive source code from the Service
  • Use the Service to transmit malware, viruses, or other harmful code
  • Attempt to gain unauthorized access to any part of the Service, our servers, or other systems connected to the Service
  • Use automated scripts, bots, or scraping tools to collect data from the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service for any unlawful purpose or in violation of applicable law
  • Resell, sublicense, or otherwise commercialize access to the Service without our written consent
  • Remove, alter, or obscure any proprietary notices or labels on the Service
  • Engage in any conduct that could harm, harass, or intimidate any person

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account at our sole discretion, without refund.

Section 6

Intellectual Property

6.1 Our Intellectual Property

SilverShield AI™ and all related technology, software, algorithms, AI models, content, designs, logos, trademarks, trade names, and service marks are owned by or licensed to DripTide Premiere LLC and are protected by United States and international intellectual property laws. The name "SilverShield AI" and the SilverShield shield logo are trademarks of DripTide Premiere LLC.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use in accordance with these Terms.

6.2 Your Content

You retain ownership of any information you provide to the Service, including account data, voice enrollment data, and financial connection credentials ("Your Content"). By using the Service, you grant DripTide Premiere LLC a limited license to process, store, and analyze Your Content as necessary to provide the Service and as described in our Privacy Policy.

6.3 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant us an irrevocable, perpetual, royalty-free, worldwide license to use, incorporate, and commercialize that Feedback without restriction or compensation to you.

6.4 Restrictions

You may not copy, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any portion of our Service or proprietary content without our prior written consent.

Section 7

Privacy

Your privacy is important to us. Our Privacy Policy describes how we collect, use, store, and share information about you and the Protected Person when you use our Service. By using the Service, you agree to the collection and use of information as described in our Privacy Policy, which is incorporated into these Terms by reference.

Key privacy commitments:

  • We never sell personal information to third parties
  • Financial account access via Plaid is strictly read-only
  • Voice enrollment data is used exclusively for deepfake detection on your account
  • We are SOC 2 Type II certified and maintain HIPAA-aligned security practices
  • California residents have additional rights under CCPA/CPRA, described in our Privacy Policy

Section 8

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DRIPTIDE PREMIERE LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

Without limiting the foregoing, we do not warrant that:

  • The Service will meet your requirements or expectations
  • The Service will detect all fraud, scam attempts, or deepfake content
  • The Service will be uninterrupted, timely, secure, or error-free
  • Any alerts or risk assessments generated by the Service will be accurate, complete, or reliable in every instance
  • Any errors in the Service will be corrected

You acknowledge that fraud detection technology is probabilistic and that no service can guarantee detection of all threats. SilverShield AI™ is a supplementary protective tool, not an absolute guarantee against fraud or financial loss.

Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, the above exclusions may not fully apply to you.

Section 9

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DRIPTIDE PREMIERE LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR FINANCIAL LOSSES RESULTING FROM FRAUD OR SCAMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

To the maximum extent permitted by law, our total cumulative liability to you for all claims arising out of or relating to these Terms or the Service, whether in contract, tort, strict liability, or otherwise, shall not exceed the greater of: (a) the total amount you paid to us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) one hundred dollars ($100.00).

The limitations in this section apply regardless of the legal theory under which liability is asserted and regardless of whether any limited remedy fails of its essential purpose.

Some jurisdictions do not allow limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

9.1 Essential Basis

You acknowledge that the limitations of liability in this Section reflect a reasonable and fair allocation of risk between the parties, and that DripTide Premiere LLC would not be able to provide the Service at the prices offered without these limitations. The limitations of liability form an essential basis of the bargain between you and DripTide Premiere LLC.

Section 10

Indemnification

You agree to defend, indemnify, and hold harmless DripTide Premiere LLC, its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of or access to the Service
  • Your violation of these Terms
  • Your violation of any applicable law, regulation, or third-party right, including intellectual property rights or privacy rights
  • Your enrollment of a Protected Person without their informed consent
  • Your enrollment of Family Circle members without their consent
  • Any content or information you provide to the Service
  • Your willful misconduct or gross negligence

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense, in which case you agree to cooperate with our defense. You may not settle any claim without our prior written consent.

Section 11

Dispute Resolution

11.1 Governing Law

These Terms and any dispute arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

11.2 Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact us at info@silvershieldsafe.com and provide a written description of the dispute and the relief you seek. We will attempt to resolve the dispute informally within 30 days of receiving your notice. If we are unable to resolve the dispute within 30 days, either party may proceed to the dispute resolution mechanisms below.

11.3 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Except as provided below, you and DripTide Premiere LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (collectively, "Dispute") shall be resolved exclusively through binding arbitration, not in a court of law. This arbitration agreement is governed by the Federal Arbitration Act (9 U.S.C. § 1 et seq.).

Arbitration shall be conducted by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, which are available at adr.org. The arbitration shall be conducted:

  • In English
  • In Miami-Dade County, Florida, or remotely if the parties agree
  • Before a single neutral arbitrator

The arbitrator's decision shall be final and binding on both parties, and judgment on the award may be entered in any court of competent jurisdiction. The arbitrator shall have authority to award any relief available in a court of law, including declaratory and injunctive relief limited to the individual claim.

11.4 Class Action Waiver

YOU AND DRIPTIDE PREMIERE LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

11.5 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent imminent harm, irreparable injury, or infringement of intellectual property rights, pending arbitration. Small claims court actions (where the claim qualifies) may also be brought without arbitration.

11.6 Arbitration Costs

We will pay all AAA filing, administration, and arbitrator fees for any arbitration you initiate unless the arbitrator finds your claim frivolous. If we initiate arbitration, we will pay all such fees. Each party is responsible for its own attorneys' fees, unless the arbitrator awards fees to the prevailing party as permitted by applicable law.

11.7 Venue for Non-Arbitrable Claims

For any claims excluded from arbitration, or if the arbitration agreement is found unenforceable, you and DripTide Premiere LLC consent to the exclusive jurisdiction and venue of the state and federal courts located in Miami-Dade County, Florida, and waive any objection to such jurisdiction or venue.

11.8 Time Limitation

Any claim or cause of action arising out of or relating to these Terms or the Service must be brought within one (1) year after such claim or cause of action accrues. Claims not brought within this period are permanently barred.

Section 12

Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Last Updated" and "Effective Date" at the top of this page
  • Send email notice to your registered address at least 30 days before the new Terms take effect
  • Display a prominent banner in the Service for at least 30 days before the changes take effect

For material changes to the arbitration agreement, we will provide at least 60 days' advance notice and you may opt out of the revised arbitration terms by notifying us in writing within 30 days of receiving notice.

Your continued use of the Service after the effective date of any modified Terms constitutes your acceptance of those Terms. If you disagree with the changes, your sole remedy is to stop using the Service and cancel your account before the effective date.

Section 13

Termination

13.1 Termination by You

You may terminate your account at any time by cancelling your subscription through your account dashboard or by contacting us at info@silvershieldsafe.com. Your account will remain active until the end of your current billing period, after which it will be closed.

13.2 Termination by Us

We may suspend or terminate your account and access to the Service, with or without cause, at any time. Grounds for termination include but are not limited to:

  • Violation of these Terms or our Acceptable Use Policy
  • Non-payment of fees
  • Conduct that we determine, in our sole discretion, to be harmful to other users, third parties, or the Service
  • Fraudulent, deceptive, or illegal activity
  • A request by law enforcement or government authority
  • Discontinuation of the Service in whole or in part

If we terminate your account for cause (i.e., your violation of these Terms), you will not receive a refund of any prepaid fees. If we terminate your account without cause, we will provide a pro-rated refund of prepaid subscription fees for the unused portion of your current billing period.

13.3 Effect of Termination

Upon termination:

  • Your license to use the Service immediately terminates
  • Your access to your account and all Service data will be revoked
  • We will delete your personal data in accordance with our data retention schedule (see our Privacy Policy, Section 6)
  • Any outstanding payment obligations survive termination

If you wish to export your data before account closure, please contact us at info@silvershieldsafe.com before termination.

13.4 Survival

The following provisions survive termination of these Terms for any reason: Section 6 (Intellectual Property), Section 8 (Disclaimer of Warranties), Section 9 (Limitation of Liability), Section 10 (Indemnification), Section 11 (Dispute Resolution), and any other provisions that by their nature should survive termination.

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies incorporated herein, constitute the entire agreement between you and DripTide Premiere LLC regarding the Service and supersede all prior agreements, understandings, representations, and warranties relating to the Service.

14.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of DripTide Premiere LLC.

14.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

14.5 Force Majeure

DripTide Premiere LLC shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, acts of government, internet outages, cyberattacks, pandemics, or third-party service failures.
